Limitation of Liability and Legal Notice

Article 1 (Purpose)

The purpose of this Limitation of Liability and Legal Notice is to clarify the scope of legal liability and the matters to be noticed regarding the template-based document conversion service and related output provided to users by merzing (hereinafter the "Service"), operated by TEKLIFY Inc. (hereinafter the "Company").

Article 2 (Disclaimer of Warranties as to Accuracy of Information, etc.)

  1. The Company makes no warranty, express or implied, as to the accuracy, completeness, reliability, or timeliness of the information within the Service (text, images, links, downloadable materials, etc.).
  2. The User must use the information provided in the Service at the User's own judgment and responsibility, and it is not recommended to make or execute important decisions based solely on such information.

Article 3 (Disclaimer Regarding Converted Output)

  1. The Service provides a Tool that converts and generates documents based on the templates and input data set by the User. The Company makes no warranty as to the content, accuracy, completeness, or fitness for any particular purpose of the converted output.
  2. Due to software errors, bugs, template configuration errors, incompleteness of input data, system failures, etc., the converted output may be generated differently from the User's intent. The Company is not responsible for any consequences arising therefrom.
  3. Before using converted output (contracts, supporting documents, etc.) as a legally effective document, the User is responsible for verifying and reviewing the content of the output directly. The Company is not responsible for any legal, financial, or other consequences arising from the use of converted output as a legal document.
  4. When using converted output for important contracts, legal documents, regulatory compliance documents, etc., it is recommended to have it reviewed by an expert in the relevant field (such as a legal professional).

Article 4 (Responsibility for User Input Data and Template Configuration)

  1. Responsibility for the accuracy and legality of the template content, data, variable values, etc. entered or set by the User in the Service lies entirely with the User.
  2. The Company is not responsible where unintended output is generated due to the User's input errors or incorrect template configuration.

Article 5 (Limitation of Damages)

  1. The Company is not liable, to the maximum extent permitted by law, for any direct, indirect, special, consequential, or incidental damages arising in connection with the use of the Service.
  2. The same limitation of liability applies to data loss, service interruption, conversion errors, etc. that may occur during the use of the Service.

Article 6 (Notice on Copyright and Intellectual Property Rights)

  1. The copyright and intellectual property rights in all content within the Service (documents, images, designs, source code, etc.) belong to the Company or the rightful holders.
  2. The User may not engage in any use that excludes the rightful holder, such as unauthorized reproduction, copying, distribution, modification, or publishing, and may bear legal liability in the event of a violation.

Article 7 (Force Majeure and Exceptional Circumstances)

The Company is not responsible for the inability to provide the Service, or for delays, due to natural disasters, fire, power outages, communication failures, government actions, changes in law, or other unforeseeable or uncontrollable causes.

Article 8 (Governing Court and Governing Law)

This Notice is governed by the laws of the Republic of Korea. Where mandatory consumer protection laws of the User's country of residence provide greater protections, such mandatory provisions shall apply to that extent. Any dispute regarding this Notice shall be subject to the exclusive jurisdiction of the court having jurisdiction over the location of the Company's head office, subject to any mandatory local jurisdiction requirements that cannot be waived by agreement.

Article 9 (Changes to this Notice)

  1. The Company may change the content of this Limitation of Liability and Legal Notice. Any change will be announced in advance, at least 7 days before the effective date, through notices within the Service.
  2. The changed Notice takes effect from the announced effective date.

Addendum This Limitation of Liability and Legal Notice takes effect on June 14, 2026.
